Tata Motors To Take Over Italian Truck Maker Iveco

The India-based automaker Tata Motors is set to acquire Italian commercial vehicle manufacturer Iveco. The Indian carmaker will pay almost €3.8 billion (approximately $4.3 billion) for the acquisition. The transaction, which will be executed in partnership with the Agnelli family—the principal shareholders of Iveco- will strengthen the hold of Tata Motors in the global commercial vehicle segment. The news regarding this deal was announced jointly by Tata Motors and Iveco Group on July 30. The process of acquisition will begin by sending a voluntary tender offer made by TML CV Holdings PTE LTD, a newly established Dutch-incorporated entity wholly owned by Tata Motors.

It is important to know that Iveco’s defence division will not be part of the deal. The offer is specifically targeted at all issued common shares of the Iveco Group, following the separation of its defence business—a key precondition for the transaction to proceed.

Iveco: A Strategic Asset
The Iveco group came into existence on January 2, 2022, after its separation from CNH Industrial. Though legally incorporated in the Netherlands, the company has its office located in Amsterdam, and the company’s headquarters and core operations are based in Turin, Italy. Iveco carries out its operation in 30 countries across five continents, including major markets in Western Europe such as France, Germany, Italy, and Spain. It also has a strong presence in emerging markets across Africa and South America. Its global reach will make it easier for Tata Motors to accelerate its international expansion.

Crucially, the Italian truck-maker has an operational presence in India, which is expected to smooth the process of merging with Tata Motors' existing commercial vehicle operations in the country. With this acquisition, Tata Motors aims to acquire the title of a global leader in the commercial vehicle industry by using Iveco’s market access, technical knowledge, and global manufacturing capabilities.
